I am planning to start a software company in India, please let me know how to proceed with. Infracture requirement, legal approach and sources to contact clients and getting projects.

Check this site out. It is an excellent resource that tells you almost everthing you need to know about starting a compnay. The site is really great. It gives info for Indians from the Indian point of view.
It is general guide on starting a company. Not a specific guide on starting a software company but i found it very very helpful.
To start this kind of business, you will have to have either of the resources that you metnioned (clients, infastructure etc..). Its kind of hard. And i recoment that you dnt try to enter the Softeare marker in India coz many of the locals who got them selves established sometime back are very strong and are hard to beat.
Give a lot of thought about this and try to discuss with an experienced person.
Guess u will be much better off with a call center in India or some country in that reigon.
